1. Agreement to Terms

By accessing or using the website located at rodos.ai (the "Site") and any services provided by Rodos AI Labs Corp. ("Rodos AI," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Site or our services.

These Terms apply to all visitors, users, and others who access or use the Site, including the AI-powered chat assistant available on the Site.

2. Description of Services

Rodos AI provides AI-powered engineering modernization services for technology organizations. Our services include, but are not limited to:

• Diagnostic engagements: Analysis of existing software systems, infrastructure, codebases, team structures, and delivery pipelines.
• Embedded AI automation: Deployment of intelligent automation agents that integrate with clients' existing workflows, tools, and systems.
• Continuous optimization: Ongoing monitoring and improvement of engineering operations and delivery metrics.
• Fractional CTO and advisory services: Technical architecture design, stack selection, and build oversight for earlier-stage companies.

Specific service terms, scope, deliverables, pricing, and timelines are governed by separate engagement agreements executed between Rodos AI and the client.

3. Use of the Site

You may use the Site for lawful purposes only. You agree not to:

• Use the Site in any way that violates applicable local, state, national, or international law or regulation.
• Attempt to interfere with, compromise, or disrupt the Site, servers, or networks connected to the Site.
• Attempt to probe, scan, or test the vulnerability of the Site or any connected system or network.
• Attempt to manipulate, exploit, or misuse the AI chat assistant, including but not limited to attempting to extract system prompts, override the assistant's instructions, or use the assistant for purposes other than learning about Rodos AI services.
• Use any automated system, including bots, crawlers, or scrapers, to access the Site for any purpose without our express written permission.
• Collect or harvest any personally identifiable information from the Site.
• Use the Site to transmit any unsolicited or unauthorized advertising, promotional materials, or spam.

4. AI Chat Assistant

The Site includes an AI-powered chat assistant designed to provide information about Rodos AI's services. You acknowledge and agree that:

• The chat assistant provides general information about Rodos AI's services and is not a substitute for professional advice.
• Responses generated by the chat assistant are for informational purposes only and do not constitute a binding offer, proposal, or contract.
• The chat assistant may not always provide complete or accurate information. Any specific service terms, pricing, or commitments must be confirmed in writing by a Rodos AI representative.
• Conversations with the chat assistant may be logged and analyzed to improve the quality of our services and user experience.
• You will not attempt to manipulate, exploit, or misuse the chat assistant in any way.

5. Intellectual Property

The Site and its entire contents, features, and functionality — including but not limited to all information, software, text, displays, graphics, images, video, audio, design, selection, and arrangement thereof — are owned by Rodos AI, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

"Rodos AI," the Rodos AI logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Rodos AI Labs Corp. You must not use such marks without our prior written permission.

6. Client Engagements

Any engagement for services beyond the information provided on the Site and through the chat assistant will be governed by a separate Master Services Agreement ("MSA") or Statement of Work ("SOW") executed between Rodos AI and the client. These Terms do not govern the provision of professional services.

7. Disclaimer of Warranties

THE SITE AND ALL INFORMATION, CONTENT, AND MATERIALS AVAILABLE THROUGH THE SITE ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

TO THE FULLEST EXTENT PERMITTED BY LAW, RODOS AI DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

RODOS AI DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE. RODOS AI DOES NOT WARRANT THE ACCURACY, COMPLETENESS, OR USEFULNESS OF ANY INFORMATION PROVIDED ON THE SITE OR THROUGH THE CHAT ASSISTANT.

THE PROJECTED OUTCOMES AND METRICS DISPLAYED ON THE SITE (INCLUDING BUT NOT LIMITED TO REDUCTION IN MEAN TIME TO RESOLUTION, ENGINEERING CAPACITY IMPROVEMENTS, AND DEPLOYMENT FREQUENCY IMPROVEMENTS) ARE ESTIMATES BASED ON OUR METHODOLOGY AND ARE NOT GUARANTEES OF RESULTS. ACTUAL RESULTS VARY BY ORGANIZATION.

8. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL RODOS AI, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SITE;
• ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SITE;
• ANY CONTENT OBTAINED FROM THE SITE; OR
• UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.

IN NO EVENT SHALL RODOS AI'S AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SITE EXCEED ONE HUNDRED DOLLARS ($100.00).

9. Indemnification

You agree to defend, indemnify, and hold harmless Rodos AI, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Site.

10. Governing Law and Jurisdiction

These Terms and any dispute or claim arising out of or related to them shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any legal suit, action, or proceeding arising out of or related to these Terms or the Site shall be instituted exclusively in the federal courts of the United States or the courts of the State of Delaware, and you consent to the personal jurisdiction of such courts.

11. Changes to Terms

We may revise and update these Terms from time to time at our sole discretion. All changes are effective immediately when posted and apply to all access to and use of the Site thereafter. Your continued use of the Site following the posting of revised Terms means that you accept and agree to the changes.

12. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.
